Plain English summary: By using our website or hiring us, you agree to these terms. We deliver quality work, you pay on time. We protect your IP. We don't offer refunds after work is delivered but we do revisions. Disputes are governed by Indian law.

1. Agreement to Terms

By accessing or using the website at s2o.in ("Website") or engaging the services of S2O – Start Selling Online ("S2O", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services.

These Terms apply to all visitors, users, and clients of S2O.

2. Our Services

S2O provides the following services:

  • Ecommerce website design and development
  • Shopify store setup, customisation, and optimisation
  • AI tools and workflow automation
  • Conversion rate optimisation (CRO)
  • Ongoing support and maintenance
  • Free AI-powered web tools (Store Name Generator, Product Description Writer, ROI Calculator)

The specific scope of services for any client engagement is defined in a separate Project Agreement or Statement of Work (SOW) agreed between both parties.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services or engage us for a project. By using our services, you represent that you meet these requirements.

4. Project Agreements & Payments

4.1 Quotations

All project quotes are valid for 14 days from the date of issue. Quotes are based on the scope discussed — any changes to scope may result in revised pricing.

4.2 Payment Terms

  • 50% advance payment is required before any work begins
  • 50% balance is due upon project completion, before final files/access are delivered
  • Payments accepted via Razorpay, UPI, or bank transfer
  • GST invoice is provided for all payments
  • Overdue payments beyond 7 days may result in work being paused

4.3 Refund Policy

⚠️ No refunds are offered once work has been delivered. If you are unsatisfied with the work, we will revise it at no extra charge until it meets the agreed brief. The advance payment is non-refundable if you cancel a project after work has commenced.

If we are unable to deliver the agreed work due to circumstances on our end, we will refund the proportionate amount of work not completed.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide all required content, branding assets, images, and information in a timely manner
  • Respond to questions and review requests within 3 business days
  • Provide accurate and truthful information about their business and requirements
  • Ensure they have legal rights to any content, images, or trademarks provided to S2O for use in the project
  • Not use our services for any illegal, fraudulent, or harmful activities

Delays caused by the client (late content, approvals, etc.) may extend the project timeline and S2O shall not be held responsible for such delays.

6. Intellectual Property

6.1 Client-Owned IP

Upon receipt of full payment, the client owns all custom design and code created specifically for their project. This includes website design files, custom theme code, and other deliverables specified in the project agreement.

6.2 S2O-Owned IP

S2O retains ownership of:

  • Our proprietary frameworks, tools, templates, and methodologies used in delivering your project
  • Any pre-existing code libraries or components incorporated into the project (licensed to you for use)
  • All content on the S2O website, including blog articles, tools, branding, and copy

6.3 Portfolio Rights

Unless you explicitly request otherwise in writing, S2O reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials.

6.4 Third-Party Software

Projects may incorporate third-party software, plugins, themes, or APIs (e.g., Shopify, Razorpay). These are subject to their own licensing terms and S2O is not responsible for changes to third-party services after project delivery.

7. Free AI Tools

The free tools available at s2o.in/tools (Store Name Generator, Product Description Writer, ROI Calculator) are provided "as is" for informational and educational purposes.

  • Results generated by AI tools are not guaranteed to be accurate, unique, or legally available as trademarks or domain names
  • Always verify domain availability, trademark status, and other legal considerations before using a generated store name
  • AI-generated product descriptions should be reviewed and personalised before publishing
  • ROI calculations are projections based on industry averages and are not financial guarantees
  • S2O accepts no liability for decisions made based on tool outputs

8. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the course of a project. This obligation continues for 2 years after project completion. This does not apply to information that is publicly available or independently developed.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • S2O's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim
  • S2O is not liable for indirect, incidental, or consequential damages including lost profits, loss of data, or business interruption
  • S2O is not liable for third-party service failures (Shopify downtime, payment gateway issues, hosting outages, etc.)
  • S2O is not responsible for the performance of your store after delivery — results depend on many factors including your products, pricing, and marketing

10. Website Use

By using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the website or its systems
  • Scrape, copy, or reproduce content from the website without written permission
  • Use automated tools to access or interact with the website in ways that place excessive load on our servers
  • Transmit any harmful code, viruses, or malware

11. Disclaimers

Our website and free tools are provided on an "as is" and "as available" basis without any warranties, express or implied. S2O does not warrant that the website will be uninterrupted, error-free, or free from viruses.

Blog articles and educational content on our website are for informational purposes only and do not constitute legal, financial, or professional advice.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.

For active client projects, we will notify you directly of any material changes.
